This promotion (the 'Sweepstakes') is sponsored by MGEL Incorporated (dba 'Circle of Moms'), the owner and operator www.circleofmoms.com (the 'Website').

ELIGIBILITY:
NO PURCHASE NECESSARY TO ENTER OR WIN. To enter, click on the contest question on the Circle of Moms website. You will be asked to answer a question. The Sweepstakes is open to all website members of Circle of Moms 18 years of age or older, excluding employees of Circle of Moms and its affiliates (and their immediate family members). Offer void wherever prohibited or restricted by law. Each entrant in the Sweepstakes must be the rightful owner or have authorized use of the e-mail account indicated by the entrant's e-mail address. In the event of a dispute concerning the identity of the winner submitting an entry, the winner will be deemed to be the person in whose name the e-mail account is opened. The e-mail account must be opened prior to the commencement of the Sweepstakes.

ENTRIES:
No automated entry devices, bots and/or other programs and/or software are permitted for entry. Entering the sweepstakes multiple times does not increase your chances to win. Delivery of the Item (as defined below) requires a valid street address (no P.O. Boxes) located either within the 50 United States or the District of Columbia or another country. Circle of Moms is not responsible for lost, late, duplicate, illegible, incomplete, invalid, unintelligible, misdirected, technically corrupted or garbled entries, which will be disqualified, or for problems of any kind, whether mechanical, human or electronic. Only fully completed entries are eligible. Proof of submission will not be deemed to be proof of receipt by Circle of Moms.

ENTRY PERIOD:
The Sweepstakes will commence as directed on the site and end as directed on the site.

PRIZES:
Three (3) Prize Winners (the "winners") will each receive one (1) Roku XD (full 1080p support) box, with an estimated retail value of $80 (USD): (the 'Item'), subject to compliance with these Official Rules.

Circle of Moms reserves the right to substitute a cash payment or other prize of equal value for the Grand Prize. The Grand Prize is non-transferable and cannot be sold or redeemed for cash.

SELECTION AND NOTIFICATION OF WINNERS: Winners will be selected by a random drawing from all eligible entries. Winners will be chosen on Thursday, December 30, 2010.

Winners will be notified by email within 10 days after the random drawing. Winners have ten (10) days from date of notification to follow the instructions in the email to complete the claim process. Prior to release of the Item to Winner, confirmation of the identity of Winner shall be undertaken by Circle of Moms, by whatever means Circle of Moms shall deem appropriate. Once Winner accepts the Item, a binding legal contract is made for the transfer of the Item between Circle of Moms and Winner. If Winner rejects the Item, an alternate entrant, chosen at random, will be offered the Item. This process will continue until Item has been accepted by a Winner, subject to these Official Rules.

Winner(s) must comply with all terms and conditions of these Official Rules, and winning is contingent upon fulfilling all requirements. Except where prohibited, and at the option of Circle of Moms, Winner(s) must sign and return to Circle of Moms, within ten (10) days of first attempted notification, an affidavit/declaration of eligibility and liability/publicity release in order to receive the Item (except where prohibited by law). If Winner(s) cannot be contacted within ten (10) days after the first attempt to contact him/her, or if he/she fails to sign and return the affidavit/declaration of eligibility and liability/publicity release within that time period, an alternate entrant will be selected in his/her place in the manner set forth above. This process will continue until valid Winner(s) is found that complies with all the terms and conditions of these Official Rules.

Circle of Moms is not liable for any delays in the receipt of, or unsuccessful delivery, of any email messages, as delivery is subject to effective transmission via the Internet.

CONDITIONS:
By participating, entrants agree to be bound by these Official Rules and the results of the random selection of the Winner, which shall be final, and waive any right to claim ambiguity in the Sweepstakes and/or these Official Rules. All federal, state and local tax liabilities arising from this Sweepstakes will be the sole responsibility of the Winner. Acceptance of prizes constitutes permission to use the Winner's name, likeness, biography, and prize won for purposes of advertising, promotion and publicity without additional compensation, except where prohibited or restricted by law.

The entrants release, discharge, and hold harmless Circle of Moms and its affiliates, subsidiaries, assigns, attorneys, representatives and agents, including advertising, promotion and fulfillment agencies, from any and all liability or damages arising from the administration of the Sweepstakes and the use or misuse of any prize received in this Sweepstakes, including, without limitation, the following: (i) late, lost, incomplete, delayed, misdirected or unintelligible entries, (ii) any printing, typographical, administrative or technological errors in any materials associated with the Sweepstakes, (iii) any damage to the entrant's computer, related equipment, data files, and software resulting from entrant's downloading of information regarding the Sweepstakes or participation in the Sweepstakes and (iv) any injury or damage arising from the Winner ís use of his or her prize.

Circle of Moms reserves the right, in its sole discretion, to modify, cancel or suspend this Sweepstakes for any reason, including should a virus, bug, computer problem or other causes beyond Circle of Moms' control corrupt the administration, security or proper operation of the Sweepstakes. Circle of Moms may prohibit you from participating in the Sweepstakes or winning a prize if, in its sole discretion, Circle of Moms determines that you are attempting to undermine the legitimate operation of the Sweepstakes by cheating, hacking or employing other unfair practices or by abusing other entrants or the representatives of Circle of Moms.

ANY ATTEMPT BY AN ENTRANT TO DELIBERATELY DAMAGE THE WEBSITE OR UNDERMINE THE OPERATION OF THE SWEEPSTAKES MAY BE IN VIOLATION OF CRIMINAL AND CIVIL LAWS, AND, IN SUCH EVENT, CIRCLE OF MOMS RESERVES THE RIGHT TO PURSUE ITS REMEDIES AND DAMAGES (INCLUDING COSTS AND ATTORNEY'S FEES) TO THE FULLEST EXTENT OF THE LAW.

Any dispute arising from the Sweepstakes will be determined according to the laws of the State of California, without reference to its conflict of laws principles, and the entrants consent to the personal jurisdiction of the State and Federal Courts located in California over them and agree that such courts have exclusive jurisdiction over all such disputes.

All requests for the names of the Winners must be received by January 1, 2011.
